Spinvil does not own, buy, sell, or take possession of any vehicle listed on the platform. All information, listings, and content on the Website are provided for reference purposes only and do not constitute professional, legal, or financial advice. You should independently verify all information before acting on it. Spinvil may modify, suspend, or discontinue any aspect of the Website at any time without prior notice.

Spinvil offers the following services: • A listing platform for sellers to advertise cars and two-wheelers for sale. • Search and discovery tools to help buyers find vehicles based on make, model, price, location, and other criteria. • Communication tools that enable buyers and sellers to connect via in-platform chat, phone, or WhatsApp. • A saved favourites feature that allows users to bookmark listings of interest. • Optional premium subscription plans that provide enhanced visibility and additional features for sellers. Spinvil does not provide vehicle history reports, mechanical inspections, ownership verification, or any other third-party certification services. Any such services offered through the platform are provided by independent third parties and are subject to their own terms.

"Content" means all information, text, images, videos, graphics, data, and other materials displayed on the Website by Spinvil. "User Content" means any content uploaded, posted, or submitted by users, including listing descriptions, photographs, and messages. You are solely responsible for all User Content that you submit. You represent and warrant that: • You own or have the necessary rights to submit such content. • Your content does not violate any law, regulation, or third-party right. • Your content is accurate, truthful, and not misleading. By submitting User Content, you grant Spinvil a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Website. Spinvil reserves the right to remove or disable access to any User Content that we believe violates these terms, applicable law, or third-party rights, without prior notice.

You may browse the Website without registering. However, certain features such as listing a vehicle, saving favourites, and sending messages require you to create an account. When you register, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Spinvil immediately of any unauthorised use of your account. Spinvil shall not be liable for any loss or damage arising from your failure to safeguard your account information. Spinvil reserves the right to suspend or delete accounts that provide false information, violate these terms, or are inactive for an extended period.

Spinvil grants you a limited, non-exclusive, revocable license to access and use the Website for personal, non-commercial purposes in accordance with these terms. Violation of these obligations may result in immediate termination of your access and legal action where appropriate.

Spinvil reserves the right, but does not assume the obligation, to monitor, review, and moderate all Content and User Content on the Website. We may edit, remove, or disable access to any content that we determine, in our sole discretion, violates these terms or applicable law. Spinvil may also share information with government or law enforcement agencies if required by law, or if we believe in good faith that such disclosure is necessary to prevent fraud, protect our rights, or comply with legal processes.

Buyers use the Website at their own risk. Spinvil does not provide any warranty or guarantee regarding the quality, condition, legality, or ownership status of any vehicle listed on the platform. Buyers are strongly advised to: • Independently verify all vehicle details, including registration certificate (RC), insurance, and loan clearance. • Conduct a physical inspection of the vehicle before making any payment. • Complete all documentation as required by the Regional Transport Office (RTO) and other authorities. • Verify the seller's identity and ownership documents. Prices listed on the platform are set by sellers and are indicative. Spinvil does not endorse or validate any pricing. Market values may vary based on condition, location, and demand. Buyers must purchase vehicles for personal use only. Dealers, brokers, or commercial entities are not permitted to purchase used vehicles through the platform unless expressly authorised by Spinvil.

By listing a vehicle on Spinvil, you represent and warrant that: • You are the lawful owner of the vehicle or have the legal authority to sell it. • All information provided in your listing, including price, specifications, condition, and photographs, is accurate and not misleading. • The vehicle is not subject to any undisclosed loans, liens, or legal disputes. • You will cooperate with the buyer in completing the transfer of ownership. Sellers must not use the listing platform for any purpose other than selling the vehicle described. Soliciting business, advertising other products or services, or collecting buyer information for unauthorised purposes is prohibited. Spinvil reserves the right to screen, approve, or reject listings before they are published. Listings that violate these terms may be removed without notice, and repeated violations may result in account suspension. Sellers are encouraged to respond promptly to buyer enquiries and to act in good faith throughout the transaction process.

The Website may contain hyperlinks to third-party websites, services, or content. These links are provided for your convenience only. Spinvil does not control, endorse, or assume any responsibility for the content, privacy practices, or terms of any third-party website. Your use of third-party websites and services is governed by the terms and policies of those third parties. Spinvil shall not be liable for any loss or damage arising from your use of or reliance on any third-party content, products, or services. The Website may also display advertisements and promotional content from third parties. Spinvil does not guarantee the accuracy or reliability of any such content.

THE WEBSITE AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SPINVIL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. SPINVIL DOES NOT WARRANT THAT: • THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. • THE RESULTS OBTAINED FROM USING THE WEBSITE WILL BE ACCURATE OR RELIABLE. • ANY DEFECTS OR ERRORS WILL BE CORRECTED. • THE WEBSITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SPINVIL TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF INR 100 OR THE AMOUNT OF FEES PAID BY YOU TO SPINVIL IN THE TWELVE MONTHS PRECEDING THE CLAIM. SPINVIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Spinvil is an intermediary under the Information Technology Act, 2000, providing an online marketplace platform for users to connect. All commercial contracts and transactions are entered into directly between the buyer and the seller. Spinvil is not a party to any such transaction and does not act as an agent, broker, or representative of any user. Spinvil exercises no control over the quality, safety, or legality of vehicles listed, the accuracy of listings, or the ability of users to complete transactions. Users release Spinvil from all claims, demands, and damages arising out of or in connection with disputes between users. By using the platform, you acknowledge that Spinvil is not responsible for the conduct of any user, whether online or offline.

Users must not post or transmit any content that is abusive, defamatory, harassing, obscene, or otherwise objectionable. If you encounter any content that violates these terms, you may report it to Spinvil by contacting us at support@spinvil.com. Spinvil will review all reports in a timely manner and take appropriate action, which may include removing content, suspending accounts, or reporting to law enforcement authorities. Any feedback, suggestions, or ideas you submit to Spinvil about the Website shall be deemed non-confidential. Spinvil may use such feedback without any obligation of compensation or attribution.

Any dispute, controversy, or claim arising out of or relating to these Terms of Use or your use of the Website shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by Spinvil. The place of arbitration shall be Ranchi, Jharkhand, and the language of arbitration shall be English. Before initiating arbitration, you agree to send a notice of dispute to Spinvil at support@spinvil.com and attempt to resolve the dispute informally for a period of 30 days. If the dispute cannot be resolved within that period, either party may initiate arbitration. The award of the arbitrator shall be final and binding on both parties.

Notices: All notices from Spinvil to you shall be sent to the email address provided during registration or posted on the Website. You may send notices to Spinvil at support@spinvil.com. Assignment: You may not assign or transfer your rights or obligations under these terms without the prior written consent of Spinvil. Spinvil may freely assign or transfer these terms. Severability: If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Waiver: The failure of Spinvil to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Independent Contractor: Nothing in these terms shall create a partnership, agency, joint venture, or employment relationship between you and Spinvil. Entire Agreement: These terms, together with the Privacy Policy, constitute the entire agreement between you and Spinvil regarding your use of the Website and supersede all prior agreements. Contacting You: By registering on the Website, you consent to receive communications from Spinvil via phone, SMS, email, or in-app notifications, even if your number is registered on the National Do Not Call (NDNC) registry.

These Terms of Use shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts at Ranchi, Jharkhand shall have exclusive jurisdiction over any matters arising out of or relating to these terms or your use of the Website.

You may request deletion of your account at any time by contacting us at support@spinvil.com. Upon verification of your identity and ownership of the account, we will process the deletion request within a reasonable period. Upon account deletion: • Your profile information and personal data will be removed from our active systems. • Your active listings will be unpublished. • Your chat history will no longer be accessible to you. Please note that certain data, such as transaction records and communications, may be retained for legal and compliance purposes as required by applicable law. We recommend that you download or save any important information from your account before requesting deletion.
